Version 1.0 | Effective: April 3, 2026 | Last updated: April 3, 2026
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. They contain important information about your legal rights, obligations, and remedies, including limitations of liability, a binding arbitration clause, and a class action waiver. By accessing or using the Coherence platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
These Terms of Service ("Terms") constitute a binding agreement between Coherence Services LLC, a Texas limited liability company and wholly owned subsidiary of Coherence Technologies Inc ("Coherence," "we," "us," or "our"), and the law firm, legal organization, or individual attorney that registers for or uses the Coherence platform ("Customer," "you," or "your").
"Platform" means the Coherence web application and all related services, including evidence upload, transcription, indexing, search, entity detection, timeline generation, analyzer observations, and the evidence workspace. "Evidence Data" means any documents, videos, audio files, images, emails, or other materials uploaded to or processed by the Platform. "Authorized Users" means individuals granted access to the Platform under your account, including attorneys, paralegals, and staff.
Coherence provides an evidence review platform designed for criminal defense attorneys. The Platform enables Customers to upload, organize, transcribe, search, and analyze evidence across multiple file types from a unified workspace. The Platform is a technology tool. It does not provide legal advice, legal strategy, or legal representation of any kind.
To use the Platform, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. You are responsible for ensuring that all Authorized Users comply with these Terms.
You must be a licensed attorney, a law firm, a legal aid organization, or a public defender's office to register for the Platform. By registering, you represent that you have the authority to bind your organization to these Terms.
You retain all right, title, and interest in your Evidence Data. We do not claim any ownership of your Evidence Data. We will not access, use, disclose, or modify your Evidence Data except as necessary to provide the Platform services you have requested, or as required by applicable law or valid court order.
We do not use your Evidence Data for any purpose other than providing Platform services, including but not limited to model training, analytics, marketing, or product development. This restriction survives termination of these Terms.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Platform during the applicable subscription term for your internal business purposes related to criminal defense case work.
You may not: sublicense, sell, resell, or distribute the Platform or access to it; use the Platform for any purpose other than criminal defense case work; reverse engineer, decompile, or disassemble any part of the Platform; use the Platform to develop a competing product or service; remove or alter any proprietary notices on the Platform; or use the Platform in any manner that violates applicable law or these Terms.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will not use the Platform to: upload content that you do not have the legal right to upload; intentionally interfere with or disrupt the Platform or servers; attempt to gain unauthorized access to any part of the Platform; or upload malicious code, viruses, or other harmful material. We reserve the right to suspend or terminate your access if we reasonably determine that you have violated this section, after providing written notice and a reasonable opportunity to cure the violation where practicable.
The Platform is a technology tool designed to assist attorneys with evidence review. Neither Coherence Services LLC, Coherence Technologies Inc, nor any of their employees, contractors, or affiliates provides legal advice, legal opinions, legal strategy, or legal representation through the Platform. All automated outputs, including transcriptions, entity detection results, analyzer observations, timeline generation, and search results, are generated by automated processes and may contain errors or omissions. You are solely responsible for independently verifying all Platform outputs before relying on them in any legal proceeding, filing, communication, or decision. The existence of Platform outputs does not establish or replace the professional judgment of a licensed attorney.
Fees for the Platform are as set forth in the applicable order, subscription agreement, or pricing schedule ("Order"). Unless otherwise specified in the Order, fees are billed monthly in advance and are due within 30 days of invoice. All fees are stated in U.S. dollars and are nonrefundable except as expressly stated in these Terms.
We may change our fees upon 30 days written notice. Fee changes will not apply to the current subscription term but will take effect upon renewal. If you do not agree to a fee change, you may cancel your subscription before the renewal date.
During any introductory period, fees and feature availability may differ from standard pricing and are subject to change with 30 days notice.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COHERENCE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, COHERENCE DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; (B) THE RESULTS OBTAINED FROM THE PLATFORM WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) TRANSCRIPTIONS, ENTITY DETECTION, CONTRADICTION FLAGS, TIMELINE GENERATION, OR ANY OTHER AUTOMATED OUTPUT WILL BE FREE OF ERRORS OR OMISSIONS; OR (D) ANY DEFECTS IN THE PLATFORM WILL BE CORRECTED.
You acknowledge that the Platform uses automated technology to process evidence and that no automated system can guarantee perfect accuracy. You accept sole responsibility for verifying all Platform outputs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COHERENCE, ITS PARENT COMPANY (COHERENCE TECHNOLOGIES INC), AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LEGAL MALPRACTICE CLAIMS, ADVERSE CASE OUTCOMES, OR ANY DAMAGES ARISING FROM YOUR RELIANCE ON PLATFORM OUTPUTS, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF COHERENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COHERENCE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO COHERENCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND U.S. DOLLARS ($1,000).
The limitations in this section apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and even if a limited remedy set forth in these Terms is found to have failed its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by law.
Your indemnification of Coherence: You agree to indemnify, defend, and hold harmless Coherence, Coherence Technologies Inc, and their respective officers, directors, employees, and agents ("Coherence Indemnitees") from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of applicable law; (d) any claim by a third party arising from Evidence Data you upload; or (e) any claim that your use of the Platform infringed or violated the rights of a third party.
Coherence's indemnification of you: Coherence will indemnify, defend, and hold harmless Customer and its officers, directors, employees, and agents from and against any third party claim that the Platform, as provided by Coherence and used in accordance with these Terms, infringes a valid United States patent, copyright, or trademark. This obligation does not apply to claims arising from: (a) modification of the Platform by anyone other than Coherence; (b) use of the Platform in combination with products or services not provided by Coherence; (c) use of the Platform other than as permitted under these Terms; or (d) use of other than the most current version of the Platform made available by Coherence.
Each party acknowledges that in connection with these Terms, it may receive confidential information of the other party ("Confidential Information"). Confidential Information includes, but is not limited to, Evidence Data, business plans, pricing, technical information, and any information designated as confidential. Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose it to any third party except as necessary to perform its obligations under these Terms or as required by law; and (c) use it only for purposes related to these Terms.
Coherence acknowledges that Evidence Data may contain attorney-client privileged and work product protected material. Coherence will not voluntarily disclose Evidence Data to any third party. In the event Coherence receives a subpoena, court order, or other legal process seeking disclosure of Evidence Data, Coherence will promptly notify Customer (to the extent legally permitted) and provide Customer a reasonable opportunity to seek protective relief before any disclosure.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Agreement to Arbitrate: You and Coherence agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform ("Dispute") shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring individual claims in small claims court if the claims qualify.
Arbitration Rules: Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall take place in Travis County, Texas, unless the parties mutually agree to a different location or to virtual proceedings. The arbitrator shall have exclusive authority to resolve all Disputes, including the scope, enforceability, and arbitrability of this section. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.
Costs: Each party shall bear its own attorneys' fees and costs in connection with the arbitration, unless the arbitrator determines that a party's claim or defense was frivolous, in which case the arbitrator may award reasonable attorneys' fees and costs to the prevailing party. Filing fees and arbitrator compensation shall be allocated in accordance with AAA rules.
Class Action Waiver: YOU AND COHERENCE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a Dispute proceeds in court rather than arbitration, both parties waive any right to a jury trial. If a court of competent jurisdiction finds the class action waiver in this section to be unenforceable as to a particular claim or request for relief, then the parties agree that such claim or request for relief shall be severed and proceed in arbitration on an individual basis.
Opt-Out: You may opt out of this arbitration and class action waiver provision by sending written notice to Coherence within 30 days of your first acceptance of these Terms. The notice must include your name, the name of your firm or organization, and a statement that you wish to opt out of the arbitration provision. Send the notice to: Coherence Services LLC, 5900 Balcones Drive, STE 100, Austin, TX 78731, or by email to legal@coherence.legal. If you opt out, the Governing Law and Dispute Resolution provisions in Section 14 will apply.
These Terms and your use of the Platform are governed by the laws of the State of Texas, without regard to its conflict of laws provisions. To the extent that the arbitration provisions in Section 13 do not apply (including if you have opted out), any disputes arising from or related to these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Term: These Terms are effective upon your first access to or use of the Platform and continue until terminated.
Termination by you: You may terminate these Terms at any time by ceasing use of the Platform and providing written notice to Coherence. Termination does not entitle you to a refund of prepaid fees for the current subscription period.
Termination by Coherence: We may terminate these Terms or suspend your access: (a) immediately, if you breach Sections 5 or 6 of these Terms; (b) upon 30 days written notice if you breach any other provision and fail to cure within the notice period; or (c) immediately if we are required to do so by law.
Effect of termination: Upon termination, your right to use the Platform ceases immediately. Sections 4, 7, 9, 10, 11, 12, 13, 14, and 16 through 21 survive termination.
Following termination, we will retain your Evidence Data for 90 days to allow you to export it. During this period, you will have access solely for the purpose of data retrieval. After 90 days, we will permanently delete all Evidence Data in accordance with the deletion procedures described in our Privacy Policy. We will not charge additional fees for data retrieval during this 90 day period. Requests for extended retention or specialized data export assistance may be subject to additional fees.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemic, epidemic, government orders, war, terrorism, riots, labor disputes, Internet or telecommunications failures, power outages, cyberattacks, or disruptions to cloud infrastructure. The affected party shall notify the other party promptly and use commercially reasonable efforts to mitigate the impact and resume performance.
The Platform, including all software, algorithms, user interfaces, designs, trademarks, and documentation, is owned by Coherence Technologies Inc and is protected by United States and international intellectual property laws. These Terms do not grant you any right, title, or interest in the Platform other than the limited license set forth in Section 5. Coherence and the Coherence logo are trademarks of Coherence Technologies Inc. You may not use our trademarks without prior written consent.
We may modify these Terms from time to time. For non-material changes, the updated Terms will be posted on our website and will take effect upon posting. For material changes, we will provide at least 30 days advance written notice by email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may export your data in accordance with Section 16.
All notices under these Terms must be in English. Notices from Coherence to you may be provided by email to the address associated with your account or by posting on the Platform. Notices from you to Coherence must be sent to: Coherence Services LLC, 5900 Balcones Drive, STE 100, Austin, TX 78731, or by email to legal@coherence.legal. Notices are effective upon receipt (for email, on the date sent; for physical delivery, on the date of confirmed delivery).
Entire Agreement: These Terms, together with the Privacy Policy, any applicable Order, and any documents expressly incorporated by reference, constitute the entire agreement between you and Coherence with respect to the Platform and supersede all prior agreements, understandings, and communications.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect.
Waiver: The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce such provision or any other provision in the future.
Assignment: You may not assign or transfer these Terms or any rights or obligations under them without the prior written consent of Coherence. Coherence may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets, upon written notice to you. Any attempted assignment in violation of this section is void.
No Third Party Beneficiaries: These Terms are for the sole benefit of the parties and do not create any third party beneficiary rights.
Relationship of Parties: The relationship between you and Coherence is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
Export Compliance: You agree to comply with all applicable export control laws and regulations in connection with your use of the Platform.
Headings: Section headings are for reference only and do not affect the interpretation of these Terms.
